国外的投行以券商为基础，像高盛、美林、摩根大通等都是券商。
而国内的投行大多是银行的一个部门。
从监管法律来看，银行是不允许进行投资的，所以银行的投资只能以贷款的形式存在，所以就没有并购收购、非上市公司股权投资等标准投行业务。在国内充当类国际投行的业务的是信托公司。
而国际几大投行高盛、摩根斯坦利之类，他们是国际传统投行，有着专业的投研团队，对每一个行业每一个领域有着专门的分析和研究，对行业的专营导致他们可以在全世界范围内，以高盛的名义筹措资金，做各种并购收购、股权投资等案例。联想收购IBM实际就是高盛操作的经典案例，由于联想迫于PC主机市场的销量压力，而IBM在那个阶段PC部门大幅亏损，但是具有国际品牌效应。高盛在做了相当大的调研之后，才能撮合联想收购了IBM的PC部门。
